XSClothes specializes in OEM/ODM clothing manufacturing for fashion brands, designers, retailers, wholesalers and businesses worldwide.

Our services include custom apparel development, fabric sourcing, sample production, private labeling, bulk manufacturing and related services.

These Terms of Service ("Terms") govern your use of our website, inquiries, quotations, sample orders, bulk orders and related transactions.

By accessing our website or placing an order, you agree to these Terms, subject to any separately agreed written contract or confirmed order terms.

If you do not agree with these Terms, please discontinue use of our website.

2. Products and Manufacturing Services

XSClothes provides custom apparel manufacturing services for products including, but not limited to:

• Custom varsity and bomber jackets

• Custom denim jackets and jeans

• Custom pants and shorts

• Custom sportswear and streetwear

• Other customized clothing products

Available customization options may include fabric selection, colors, sizes, fits, measurements, printing, embroidery, patches, washing techniques, labels, packaging and other design requirements.

All customization services are subject to technical feasibility, material availability and written confirmation.

3. Quotations and Pricing

All quotations are based on the customer's specifications, design requirements, materials, order quantities and delivery arrangements.

Prices displayed on our website may be indicative and may not represent the final price of a customized product.

Final prices will be confirmed through an official quotation, invoice or written order confirmation.

Pricing may change if the customer requests modifications to materials, design details, quantities, packaging or other specifications before the order is finalized.

Any applicable shipping fees, taxes, customs duties and additional charges will be addressed according to the agreed quotation and delivery terms.

4. Minimum Order Quantities

Minimum order quantities (MOQs) vary depending on product type, fabric, manufacturing process and customization requirements.

The applicable MOQ will be confirmed before an order is accepted.

Customers should contact our sales team to confirm the minimum quantity for their specific project.

5. Sample Development and Sample Orders

Customers may request custom samples before proceeding with bulk production.

Sample development may involve pattern making, fabric sourcing, printing, embroidery, washing, sewing and other processes.

Sample fees, development requirements, estimated lead times and shipping charges will be confirmed before payment.

Sample production will begin according to the arrangements agreed between the customer and our sales team.

Customers are responsible for reviewing samples and providing clear feedback.

Additional revisions or design changes may require additional charges and revised development timelines, subject to prior agreement.

Payment of a sample fee does not automatically include ownership of all patterns, technical files or other development materials unless expressly agreed in writing.

6. Sample Approval

Customers are responsible for reviewing and approving the final sample or agreed production specifications before bulk manufacturing begins, where sample approval is required.

Approval may include confirmation of:

• Product design and construction

• Fabric and material specifications

• Colors and washing effects

• Measurements and size specifications

• Logos, embroidery and printing

• Labels and packaging

• Other agreed manufacturing details

Once a sample or production specification has been approved, subsequent changes may affect pricing, production schedules and feasibility.

Any changes must be reviewed and confirmed in writing.

7. Bulk Production Orders

Bulk orders are subject to written confirmation of product specifications, quantities, pricing, payment terms and production schedules.

Bulk manufacturing will be based on the approved sample or mutually agreed production specifications.

Customers should provide complete and accurate order information before production begins.

Any requested modifications after production has started may require additional costs or adjustments to delivery timelines.

We reserve the right to decline manufacturing requests that are technically infeasible, unlawful or inconsistent with previously agreed requirements, subject to existing contractual obligations.

8. Payment Terms

Payment arrangements for sample orders and bulk production will be specified in the applicable quotation, invoice, payment request or written agreement.

Customers should verify the payment amount, order details and payment instructions with our sales team before making payment.

Payments may be processed through the payment methods available on our website or other mutually agreed channels.

Production may be scheduled or commenced once the applicable payment conditions have been satisfied.

Any bank charges, currency conversion fees or other payment-related costs will be handled according to the agreed payment terms.

Payment through our website does not override separately agreed manufacturing specifications, delivery terms or contractual obligations.

9. Production Lead Times

Sample development and bulk production timelines depend on product complexity, material availability, order quantity, manufacturing processes and customer approvals.

Estimated lead times are provided for planning purposes and are not guaranteed unless expressly agreed in writing.

Customer-requested changes, delayed approvals or delayed payments may require corresponding adjustments to production schedules.

We will make reasonable efforts to communicate material changes to agreed timelines.

10. Shipping and Delivery

Shipping methods, shipping costs, delivery destinations and applicable trade terms will be confirmed for each order.

Responsibility for freight, insurance, customs clearance, import duties, taxes and risk of loss will be determined by the agreed delivery terms and applicable law.

Delivery estimates may be affected by carriers, customs procedures, transportation disruptions and other circumstances outside our reasonable control.

Customers are responsible for providing accurate shipping information and any import documentation required from them.

11. Quality Control and Manufacturing Tolerances

We aim to manufacture products according to approved specifications and agreed quality standards.

Our quality control procedures may include material inspection, in-process checks, measurement verification and final product inspection.

Due to the nature of textile and apparel manufacturing, reasonable variations may occur in color appearance, fabric texture, garment measurements and finishing details.

Any permitted manufacturing tolerances should be defined in the approved specifications or written agreement.

Customers should inspect delivered products promptly and notify us of suspected manufacturing defects or discrepancies, providing relevant order details and supporting evidence.

Quality claims will be reviewed according to the agreed specifications, applicable contractual terms and relevant law.

12. Cancellations and Order Changes

Customers should contact our sales team as soon as possible if they wish to cancel or modify an order.

Cancellation eligibility depends on the order status, materials already purchased, development work completed, production progress, the applicable written agreement and relevant law.

Where cancellation is permitted, any applicable charges or refunds will be determined according to the agreed terms and documented order circumstances.

Changes requested after production has started may not always be technically or commercially feasible.

Nothing in this section excludes any rights or remedies that cannot lawfully be excluded.

13. Returns, Refunds and Claims

Custom-made apparel is manufactured according to customer-specific designs and requirements.

Return and refund eligibility depends on the nature of the order, its production status, the applicable written agreement, our published Refund Policy and mandatory legal requirements.

Customers should contact our team promptly if they identify a suspected manufacturing defect, shipment discrepancy or other order-related concern.

We will review documented claims and work toward an appropriate resolution consistent with the agreed terms and applicable law.

Approved remedies may include correction, replacement, refund or another mutually agreed solution, as appropriate.

14. Customer Designs and Intellectual Property

Customers are responsible for ensuring that the designs, logos, trademarks, artwork and other materials they provide may lawfully be used for the requested manufacturing project.

Customers represent that they own or have obtained the necessary permissions to use such materials.

Customers retain ownership of their pre-existing designs, trademarks and other intellectual property.

Customers grant XSClothes limited permission to use submitted materials solely as reasonably necessary to evaluate, develop and fulfill their orders, unless otherwise agreed.

Ownership of newly developed designs, patterns, technical files and other project-specific materials will be determined by the applicable written agreement.

We may decline projects that appear to infringe third-party intellectual property rights or violate applicable law.

15. Confidentiality

We recognize that customers may share confidential business information, including product designs, technical specifications, development plans and commercial details.

We will take reasonable measures to protect confidential information received for the purpose of evaluating or fulfilling an order.

Additional confidentiality obligations, permitted disclosures and remedies may be established through a separate nondisclosure agreement or manufacturing contract.

16. Website Content and Accuracy

We make reasonable efforts to maintain accurate and current information on our website.

Product photographs, descriptions, specifications, displayed prices and other website content are provided for general reference unless expressly incorporated into a confirmed order.

Actual customized products may differ from reference images according to the approved specifications and agreed manufacturing requirements.

We may correct website errors or update content where appropriate, subject to existing contractual obligations and applicable law.

17. Acceptable Website Use

Visitors and customers must use our website lawfully.

Users must not submit fraudulent information, unauthorized payment details, unlawful content or materials that infringe third-party rights.

Sales and manufacturing arrangements are made between customers and Zhongshan Xingshang Garment Co., Ltd., not Shopify.

Shopify is not the manufacturer or seller of the custom apparel offered through our website.

20. Limitation of Liability

Each party's liability in connection with a custom manufacturing order will be governed by the applicable written agreement and mandatory law.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Any contractual limitations of liability, exclusions of damages or specific remedies must be interpreted consistently with applicable law and the parties' written agreement.

21. Events Beyond Reasonable Control

Neither party will be responsible for a failure or delay in performing an obligation to the extent caused by events beyond its reasonable control, subject to the applicable agreement and law.

Such events may include natural disasters, significant transportation disruptions, government restrictions, labor disruptions or other extraordinary circumstances.

The affected party should provide reasonable notice and take appropriate steps to mitigate the impact where practicable.

22. Governing Law and Dispute Resolution

The governing law, dispute resolution procedure and competent forum for a manufacturing order should be specified in the applicable written contract or confirmed order terms.

Where no separate agreement applies, these matters will be determined under applicable law.

The parties should first attempt to resolve commercial disputes through good-faith discussions.

23. Changes to These Terms

We may update these Terms from time to time.

Updated Terms will be published on this page with a revised effective date.

Changes will not automatically alter the terms of an existing confirmed order unless agreed by the parties or required by applicable law.
